Terms of Service (US)

These Terms of Service ("Terms") are a legally binding agreement between SDR Contracts ("Company," "we," "our," or "us") and you ("you" or "User") for access to and use of SDR Contracts, including related websites, applications, and services (the "Services").

By using the Services, you agree to these Terms.

1. Eligibility and Account Registration

• You must be at least 18 years old.
• You must provide accurate account details.
• You are responsible for account credentials and account activity.
• You must notify us if your account is compromised.

2. Service Description

• The Services provide access to curated job-related information and account features.
• We may modify, suspend, or discontinue parts of the Services at any time.
• We do not guarantee that listings are always accurate, available, or will result in an offer.

3. Subscriptions, Billing, and Cancellation

• Certain features require paid membership.
• Billing is handled by third-party providers.
• By purchasing, you authorize charges associated with your plan, including recurring charges where applicable.
• You can manage or cancel through the subscription management flow.
• Access may change if payment fails, membership expires, or is canceled.
• Except where required by law, fees are non-refundable.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes.
• Attempt unauthorized access to systems, accounts, or data.
• Interfere with Services or introduce malicious code.
• Misrepresent identity or affiliation.
• Upload/distribute unlawful, infringing, threatening, abusive, or otherwise objectionable content.

5. User Content and Feedback

• You retain ownership of User Content you submit.
• You grant us a non-exclusive, worldwide license to use User Content to operate/improve the Services.
• You represent you have rights to submit User Content.
• We may use feedback/suggestions without restriction or compensation.

6. Third-Party Services and Links

The Services may rely on or link to third-party services (including authentication, billing, or external application pages). We do not control third-party services; your use is governed by their terms.

7. Intellectual Property

• The Services and their software/content/branding are owned by us or our licensors.
• We grant a limited, revocable, non-transferable, non-exclusive license for personal/internal business use.
• You may not copy, modify, distribute, reverse engineer, or create derivatives except as allowed by law.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/DATA/GOODWILL.

OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless SDR Contracts and its affiliates/personnel from claims and expenses arising from your use of the Services, violation of these Terms, or violation of law or third-party rights.

11. Suspension and Termination

We may suspend/terminate access if you violate these Terms or to protect the Services and users. You may stop using the Services at any time.

12. Privacy

Your use of the Services is also governed by our Privacy Policy: https://www.sdrcontracts.com/privacy.

13. Changes to These Terms

We may update these Terms from time to time. Continued use after an update means you accept the revised Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware.

Legal actions related to these Terms or the Services must be brought in state or federal courts located in New Castle County, Delaware.

15. Miscellaneous

• These Terms are the entire agreement for use of Services.
• If a provision is unenforceable, the remaining provisions remain in effect.
• Failure to enforce a provision is not a waiver.
• You may not assign these Terms without prior consent; we may assign them in connection with mergers, acquisitions, or asset sales.
